Terms of Use

1. Agreement to Terms

By downloading, installing, accessing, or using this application ("App"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not download, install, access, or use the App.

2. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal, non-commercial purposes strictly in accordance with these Terms and the applicable platform terms.

3. Apple App Store Additional Terms

If you downloaded the App from the Apple App Store, you agree to the following:

These Terms are between you and us, not with Apple, Inc. ("Apple").
We, not Apple, are solely responsible for the App and its content.
Apple has no obligation to provide maintenance or support services for the App.
If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App (if applicable). Apple has no other warranty obligation whatsoever with respect to the App.
Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

4. Google Play Store Additional Terms

If you downloaded the App from Google Play, you agree to comply with all applicable terms of the Google Play Services Terms of Service and Google Terms of Service.

5. Restrictions

You agree not to, and you will not permit others to:

License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the App or make the App available to any third party.
Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the App.
Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of our company or its affiliates, partners, suppliers or licensors.
Use the App for any illegal purpose, or in violation of any local, state, national, or international law.
Use the App for creating or spreading malware, or for other malicious actions.
Impersonate any person or entity or misrepresent your affiliation with a person or entity.

6. Intellectual Property Rights

The App and its contents, features, and functionality are and will remain our exclusive property. The App is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Updates to App

We may from time to time develop and provide App updates, which may include upgrades, bug fixes, patches, and other error corrections. Updates may also modify or delete in their entirety certain features and functionality. You agree that we have no obligation to provide any updates or to continue to provide or enable any particular features or functionality.

8. Third-Party Materials

The App may display, include, or make available third-party content (including data, information, applications, and other products, services, and/or materials) or provide links to third-party websites or services. You acknowledge and agree that we are not responsible for third-party materials, including their accuracy, completeness, timeliness, validity, legality, decency, quality, or any other aspect thereof. We do not assume and will not have any liability to you for any third-party materials.

9. Privacy Policy

Our Privacy Policy, which describes our practices regarding the collection, use, and disclosure of information in connection with your use of the App, is incorporated by reference into these Terms.

10. The Greenerherd Service Provided by Us

Certain GreenerHerd Service options are provided free-of-charge, while other options require payment before they can be accessed (the "Paid Subscriptions"). We may also offer special promotional plans, memberships, or services, including offerings of third-party products and services. We are not responsible for the products and services provided by such third parties.

From time to time, we or others on our behalf may offer promotions of Paid Subscriptions for a specified period without payment or at a reduced rate (a "Promotional Offer").

You will need to create a GreenerHerd account to use all or part of our service. Your username and password are for your personal use only and should be kept confidential. You understand that you are responsible for all use (including any unauthorized use) of your username and password. Notify our Customer Service team immediately if your username or password is lost or stolen, or if you believe there has been unauthorized access to your account.

Greenerherd may reclaim, or require you to change, your username for any reason.

Access to the GreenerHerd Service

Subject to your compliance with these Terms (including any other applicable terms and conditions), we grant to you limited, non-exclusive, revocable permission to make personal, non-commercial use of the GreenerHerd Service and the Content (collectively, "Access"). This Access shall remain in effect unless and until terminated by you or GreenerHerd. You agree that you will not redistribute or transfer the GreenerHerd Service or the Content.

The GreenerHerd software applications and the Content are licensed, not sold or transferred to you, and GreenerHerd and its licensors retain ownership of all copies of the GreenerHerd software applications and Content even after installation on your Devices.

The GreenerHerd Service and the Content are the property of GreenerHerd or GreenerHerd's licensors. All GreenerHerd trademarks, service marks, trade names, logos, domain names, and any other features of the GreenerHerd brand ("GreenerHerd Brand Features") are the sole property of GreenerHerd or its licensors. These Terms do not grant you any rights to use any GreenerHerd Brand Features whether for commercial or non-commercial use.

You agree to abide not to use the GreenerHerd Service, the Content, or any part thereof in any manner not expressly permitted by these Terms.

Payments and cancellation

You may purchase a Paid Subscription directly from GreenerHerd either by:

paying a subscription fee in advance on a monthly basis or some other recurring interval disclosed to you prior to your purchase; or
pre-payment giving you access to the GreenerHerd Service for a specific time period ("Pre-Paid Period").

As part of a subscription you will have access to all features of the application, this subscription can purchase on a monthly or annual basis. Each will provided a limited time amnesty to allow for herd sizes exceeding herd size for the purchased subscription.

Your subscription will automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Manage your subscription and turn off auto-renewal in your Apple ID or Google Play account settings at any time.

Tax rates are calculated based on the information you provide and the applicable rate at the time of your monthly charge.

If you purchase access to a Paid Subscription through a third party, separate terms and conditions with such third party may apply to your use of the GreenerHerd Service in addition to these Terms. If you purchase a Paid Subscription using a code, gift card, pre-paid offer, or other offer provided or sold by or on behalf of GreenerHerd for access to a Paid Subscription ("Codes"), you hereby agree to the GreenerHerd Terms of Use

Price and tax changes

GreenerHerd may from time to time change the price for the Paid Subscriptions, including recurring subscription fees, the Pre-Paid Period (for periods not yet paid), or Codes (defined above), and will communicate any price changes to you in advance on reasonable notice. Price changes will take effect at the start of the next subscription period following the date of the price change. Subject to applicable law, by continuing to use the GreenerHerd Service after the price change takes effect, you will have accepted the new price. If you do not agree to a price change, you can reject the change by unsubscribing from the applicable Paid Subscription prior to the price change going into effect.

Tax rates are based on the rates applicable at the time of your monthly charge. These amounts can change over time with local tax requirements in your country, state, territory or even city. Any change in Tax rate will be automatically applied based on the account information you provide.

Renewal and Cancellation

With the exception of Paid Subscriptions for a Pre-Paid Period, your payment to GreenerHerd or the third party through which you purchased the Paid Subscription will automatically renew at the end of the applicable subscription period, unless you cancel your Paid Subscription before the end of the then-current subscription period. Contact our Customer Support team support@GreenerHerd.com for instructions on how to cancel. The cancellation will take effect the day after the last day of the current subscription period, and you will be downgraded to the free version of the GreenerHerd Service. We do not provide refunds or credits for any partial subscription periods, except as expressly stated in these Terms.

If you have purchased a Paid Subscription using a Code, your subscription will automatically terminate at the end of the period stated in the Code, or when there is an insufficient pre-paid balance to pay for the GreenerHerd Service.

Withdrawal right

If you sign up for a Trial, you agree that the withdrawal right for the Paid Subscription for which you are receiving a Trial ends fourteen (14) days after you start the Trial. If you don't cancel the Paid Subscription before the Trial ends, you lose your right of withdrawal and authorise GreenerHerd to automatically charge you the agreed price each month until you cancel the Paid Subscription. For trials less than fourteen (14) days, you expressly consent to us providing you with the paid service immediately after the end of your Trial and that from that point you lose your right of withdrawal.

If you purchase a Paid Subscription with no Trial, You expressly consent to us providing you with the service immediately following your purchase, that you lose your right of withdrawal, and authorise GreenerHerd to charge you automatically each month until you cancel

11. Term and Termination

These Terms shall remain in effect until terminated by you or us. We may terminate or suspend your rights to use the App at any time for any or no reason, including if we believe that you have violated or acted inconsistently with these Terms. Upon termination, your right to use the App will immediately cease.

12. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state of United States, without giving effect to any principles of conflicts of law.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
